The Salmon & Trout Association - East Sussex Branch Agreement

 

Introduction

 

  1. The Salmon & Trout Association was founded in 1903 and incorporated in 2005.  The Association represents game anglers by promoting responsible management of the aquatic environment.  It also encourages people, especially young people, to become involved in angling and provides training. 

 

  1. The Association has regional groups or branches which have their own constitutions.  The Association recognises that it needs to enter into an agreement with these branches in order for them to be affiliated to the Association.

 

Affiliation of Branches to the Association

 

A Branch can become affiliated to the Association by paying a subscription of £1 and complying with the requirements of this Agreement.  This subscription will be payable annually and can be reviewed by the Association from time to time.

 

Benefits of Affiliation

 

  1. The Branch will be able to use the name and logo of the Association and state that it is affiliated to the Association.

 

  1. The Branch will have a contact at the Association, the Membership and Administration Manager, who will be able to provide advice and assistance.

 

 

Branch Requirements

 

  1. The Branch must identify a contact who the Association can liaise with on Branch matters.

 

  1. The Branch must ensure that its activities fall within the objects of the Association as set out in its Memorandum of Association.

 

  1. The Branch must ensure that it complies with all relevant statutory provisions.

 

  1. A Branch will have no power to enter into any transaction which purports to bind the Association or its Trustees in relation to a third party or parties.  Branches will be personally liable to the Association for any loss suffered as a result of a breach of this clause.

 

  1. Branches must not do anything to bring the reputation of the Association into disrepute.

 

  1. If a Branch receives money intended for the Association, it must pay this to the Association within 14 days of receipt.

 

  1. Branches will make clear their relationship to the Association in any publicity materials they use.  They will also make it clear that the Association is a charity and a company limited by guarantee and quote the relevant charity/company numbers.

 

  1. Branches will ensure that they comply with any guidelines issued by the Association. 

 

  1. A Branch must ensure that its constitution does not contradict this Agreement.  Where the constitution of a Branch is inconsistent with the Branch Agreement, the provisions in the Branch Agreement will take precedence.

 

Termination Provisions

 

  1. Either the Association or the Branch is entitled to terminate this Agreement.

 

  1. In the case of termination by a Branch, written notice will be given to the Association, while in the case of termination by the Association, written notice will be given to any committee member of the Branch.

 

  1. On termination, the Branch may no longer use the name and logo of the Association and may not represent itself as a Branch of the Association.

 

Other provisions

 

  1. This Agreement may only be revoked, altered or added to by mutual agreement between the Branch and the Association.  Written notice should be provided to all concerned where changes are agreed.

 

 

A group which is not affiliated to the Association under the terms of this Agreement has no connection to the Association.  It may not use the Association’s name and logo and may not represent itself as being a Branch of the Association.

 

Definitions

 

“Agreement”                          means the Branch Agreement

 

“Association”                         The Salmon & Trout Association is a company limited by guarantee

 

“Branch” and “Branches”   a group of people who wish to form themselves into a Branch, and sign up to the Agreement

 

“Trustees”                              means the Trustees of the Salmon & Trout Association
