Introduction
-
The
Salmon & Trout Association was founded in 1903 and incorporated
in 2005. The Association represents game anglers by promoting
responsible management of the aquatic environment. It also
encourages people, especially young people, to become involved
in angling and provides training.

The
Association has regional groups or branches which have their own
constitutions. The Association recognises that it needs to
enter into an agreement with these branches in order for them to
be affiliated to the Association.
Affiliation of Branches to the Association
A Branch
can become affiliated to the Association by paying a subscription of
£1 and complying with the requirements of this Agreement. This
subscription will be payable annually and can be reviewed by the
Association from time to time.
Benefits of Affiliation

The
Branch will be able to use the name and logo of the Association
and state that it is affiliated to the Association.

The
Branch will have a contact at the Association, the Membership
and Administration Manager, who will be able to provide advice
and assistance.
Branch
Requirements
-
The
Branch must identify a contact who the Association can liaise
with on Branch matters.

The
Branch must ensure that its activities fall within the objects
of the Association as set out in its Memorandum of Association.

The
Branch must ensure that it complies with all relevant statutory
provisions.

A
Branch will have no power to enter into any transaction which
purports to bind the Association or its Trustees in relation to
a third party or parties. Branches will be personally liable to
the Association for any loss suffered as a result of a breach of
this clause.

Branches must not do anything to bring the reputation of the
Association into disrepute.

If a
Branch receives money intended for the Association, it must pay
this to the Association within 14 days of receipt.

Branches will make clear their relationship to the Association
in any publicity materials they use. They will also make it
clear that the Association is a charity and a company limited by
guarantee and quote the relevant charity/company numbers.

Branches will ensure that they comply with any guidelines issued
by the Association.

A
Branch must ensure that its constitution does not contradict
this Agreement. Where the constitution of a Branch is
inconsistent with the Branch Agreement, the provisions in the
Branch Agreement will take precedence.
Termination Provisions
-
Either
the Association or the Branch is entitled to terminate this
Agreement.

In the
case of termination by a Branch, written notice will be given to
the Association, while in the case of termination by the
Association, written notice will be given to any committee
member of the Branch.

On
termination, the Branch may no longer use the name and logo of
the Association and may not represent itself as a Branch of the
Association.
Other
provisions
-
This
Agreement may only be revoked, altered or added to by mutual
agreement between the Branch and the Association. Written
notice should be provided to all concerned where changes are
agreed.
